Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Fundory.ai platform, websites, applications, and related services (collectively, the "Service"). The Service is owned and operated by Brownmine Enterprises LLC, a Georgia limited liability company ("Fundory," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Section 6 contains important disclaimers regarding AI-generated content and grant outcomes. Please read it carefully.

1. Eligibility and Account Registration

1.1 Geographic Scope

The Service is offered exclusively to users located in the United States. You represent that you are accessing the Service from within the United States and will not use the Service from any other jurisdiction.

1.2 Eligibility

You must be at least eighteen (18) years old and legally authorized to bind the organization on whose behalf you are registering. By registering, you represent that you have the authority to enter into these Terms on behalf of yourself and your organization.

1.3 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

1.4 Organization Profile

To use eligibility scoring and proposal generation features, you will provide certain information about your organization, which may include your Employer Identification Number (EIN), financial data, and the names of leadership personnel. You represent that you have the right to provide such information.

2. Subscription Plans, Billing, and Renewal

2.1 Plans

The Service is offered in three tiers: Starter (free), Professional ($49/month or annual equivalent), and Agency ($149/month or annual equivalent). Plan features and limits are described on the Service and may be updated from time to time.

2.2 Starter Tier Limits

The Starter tier permits review of up to five (5) grants per calendar month. Once the limit is reached, you will be unable to retrieve additional grants until the next billing cycle or until you upgrade to a paid plan.

2.3 Paid Plans; No Free Trial

Paid plans require a valid payment method. There is no free trial for the Professional tier. Payment is collected at the start of your subscription and on each renewal date thereafter.

2.4 Billing Cycles

Paid plans are available on monthly or annual billing cycles, selected by you at signup. Annual plans are billed in a single upfront payment for the twelve-month term.

2.5 Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle at the then-current rate, charged to your payment method on file, unless you cancel before the renewal date. You may cancel through your account settings at any time. Cancellation takes effect at the end of the current billing cycle.

2.6 No Refunds

All fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused features, downgraded plans, or cancellations made after a renewal charge has been processed. This policy applies regardless of whether the account is used during the billing period.

2.7 Price Changes

We may change subscription fees with at least thirty (30) days' notice. Price changes take effect on the next billing cycle following the notice period.

2.8 Taxes

Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription, except for taxes based on our net income.

2.9 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize us and Stripe to charge your designated payment method for all fees due.

3. License to Use the Service

3.1 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, Fundory grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal organizational purposes.

3.2 Restrictions

You shall not, and shall not permit any third party to:

  • Copy, modify, distribute, sell, or lease any part of the Service;
  • Reverse engineer or attempt to extract the source code of the Service;
  • Use the Service to build a competing product;
  • Circumvent any usage limits or access controls;
  • Use the Service for any unlawful purpose; or
  • Resell or redistribute the Service or its outputs except as expressly permitted under the Agency tier.

4. Intellectual Property and Content Ownership

4.1 Fundory IP

The Service, including all underlying software, algorithms, models, designs, trademarks, and content (other than Customer Data and Generated Output), is and remains the exclusive property of Fundory and its licensors. All rights not expressly granted to you are reserved.

4.2 Customer Data

As between you and Fundory, you retain all rights to the data, documents, organizational information, and other content you submit to the Service ("Customer Data").

4.3 License from You to Fundory

You grant Fundory a worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, transmit, display, and create derivative works from your Customer Data solely as necessary to operate, provide, improve, and develop the Service. This license includes the right to use Customer Data to train, fine-tune, evaluate, and improve our AI models and the Service generally. The license survives termination of your account only to the extent necessary for our continued use of de-identified or aggregated data and improvements already incorporated into our models.

4.4 Generated Output

Drafts, summaries, eligibility scores, narratives, budgets, and other materials generated by the Service in response to your inputs ("Generated Output") are produced by AI systems based on your Customer Data and our proprietary models. Fundory retains ownership of all Generated Output. Fundory grants you a perpetual, worldwide, non-exclusive, royalty-free, non-sublicensable license to use, reproduce, modify, and distribute Generated Output for your organization's lawful grant-seeking and fundraising activities, including submission to funders. You may not resell Generated Output as a standalone product or use it to train competing AI systems.

4.5 Feedback

If you provide suggestions, ideas, or feedback regarding the Service, you grant Fundory an irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

5. Third-Party Data Sources

5.1 Public Data

The Service aggregates information from publicly available sources, including Grants.gov, ProPublica, USAspending, CFDA, PND, Candid, NIH Reporter, and similar databases. We do not guarantee the accuracy, completeness, timeliness, or availability of any third-party data.

5.2 No Resale

Third-party data is provided to you solely as part of your authenticated use of the Service. You may not redistribute, resell, scrape, or systematically extract third-party data from the Service.

5.3 Source Changes

Third-party sources may change their data formats, access terms, or availability at any time. Fundory may add, remove, or modify supported sources without notice.

6. AI-Generated Content; No Guarantee of Outcomes

READ THIS SECTION CAREFULLY. IT LIMITS WHAT YOU CAN EXPECT FROM THE SERVICE.

6.1 AI Outputs Are Probabilistic

The Service uses artificial intelligence and large language models to generate eligibility scores, proposal drafts, narratives, budgets, and related content. AI outputs are probabilistic, may contain factual errors, fabricated citations, miscalculations, omissions, or content that is misleading or inappropriate for a given funder. AI outputs do not constitute legal, financial, tax, accounting, compliance, or professional advice.

6.2 No Guarantee of Awards

Fundory makes no representation, warranty, or guarantee that use of the Service will result in any grant award, funder shortlist placement, or favorable funding outcome. Grant decisions are made solely by funders based on their own criteria. Past performance, eligibility scores, and platform analytics are not predictive of any specific outcome.

6.3 No Guarantee of Eligibility

Eligibility scores generated by the Service are estimates based on the information you provide and publicly available data. A high score does not mean you are actually eligible for a grant. A low score does not mean you are ineligible. You are solely responsible for confirming eligibility directly with the funder before applying.

6.4 Your Review and Verification Obligation

You are solely responsible for reviewing, verifying, fact-checking, editing, and adapting all Generated Output before submitting it to any funder, regulator, board, or third party. You must confirm the accuracy of all financial figures, citations, statistics, statutory references, deadlines, RFP requirements, and compliance attestations. Fundory is not liable for errors, omissions, or rejections resulting from unverified Generated Output.

6.5 Compliance Responsibility

You are solely responsible for ensuring that all proposals, certifications, and disclosures submitted to funders comply with applicable laws, funder requirements, conflict-of-interest rules, and your organization's internal governance policies.

6.6 Use of AI Disclosure

Some funders require disclosure of AI assistance in proposal preparation. You are solely responsible for understanding and complying with any such disclosure requirements.

7. Acceptable Use

You agree not to use the Service to:

  • Submit false, fraudulent, or materially misleading information about your organization, leadership, finances, or programs.
  • Generate or submit grant applications on behalf of an organization without proper authorization.
  • Misrepresent eligibility, programmatic capacity, or beneficiary impact to a funder.
  • Upload content that infringes the intellectual property rights of any third party.
  • Upload malicious code, viruses, or content intended to disrupt the Service.
  • Interfere with or attempt to gain unauthorized access to the Service or other users' accounts.
  • Use the Service to violate any law, regulation, or funder requirement.
  • Use automated tools to scrape, copy, or extract data from the Service.

Violation of this Section may result in immediate suspension or termination without refund.

8. Agency Tier and Multi-Organization Use

8.1 Agency Use

The Agency tier permits authorized users to manage grant pipelines on behalf of multiple client organizations. If you use the Agency tier, you represent that you have written authorization from each client organization to access, process, and submit data on their behalf.

8.2 Data Processing Addendum

Agency tier subscribers are subject to the Fundory Data Processing Addendum, which is incorporated into these Terms by reference and governs the processing of client organization data.

8.3 White-Label Use

White-label features, where offered, are subject to additional terms specified at the time of activation.

9. Suspension and Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. No refund is provided for the unused portion.

9.2 Termination by Fundory

We may suspend or terminate your access to the Service, with or without notice, if (a) you breach these Terms; (b) your payment fails and is not cured within ten (10) days; (c) we suspect fraudulent or unlawful activity; or (d) we discontinue the Service or any feature thereof.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 4, 6, 10, 11, 12, 14, 15, and 16 survive termination.

9.4 Data Export

You may export your data through the Service prior to cancellation. Following termination, retrieval of Customer Data is governed by our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDORY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.

Without limiting the foregoing, Fundory does not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) Generated Output will be accurate, complete, or reliable; (d) any errors will be corrected; or (e) use of the Service will result in any grant award or funding outcome.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDORY AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR FUNDING OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY AND EVEN IF FUNDORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FUNDORY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FUNDORY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of these limitations may not apply to you. The limitations apply to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fundory and its officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law, regulation, or third-party right; (d) Customer Data you submit to the Service; (e) Generated Output you submit to a funder or other third party; or (f) any misrepresentation made by you to a funder.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles.

13.2 Venue

Any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Fulton County, Georgia. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.

13.3 No Class Actions

To the extent permitted by law, all disputes shall be resolved on an individual basis and not as part of any class, consolidated, or representative action.

13.4 Time Limitation

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action arose, or it is permanently barred.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to your registered address or by notice posted within the Service at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any Data Processing Addendum or order form, constitute the entire agreement between you and Fundory regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.

15.3 No Waiver

Failure to enforce any provision is not a waiver of future enforcement.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

Fundory is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, or government action.

15.6 Notices

Notices to Fundory must be sent to the contact address below. Notices to you may be sent to the email address associated with your account.

15.7 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
